Terms of Service (ToS)

1. Scope

These Terms of Service ("ToS") govern all offers, contracts, and deliveries by Richner-Precision, headquartered in Meisterschwanden, Switzerland. They define the relationship between Richner-Precision and its customers.

Our products are shipped within Switzerland and to other European countries. These ToS apply to contracts based on individually prepared offers and to purchases made via our optional online shop (e.g., accessories and spare parts).

"Customer" means any individual or legal entity that enters into a business relationship with Richner-Precision.


2. Product Information

Product details on our website or brochures—including dimensions, weights, technical data, and images—are for general informational purposes only. We reserve the right to make technical changes and correct errors. No product features are guaranteed. Colors and designs may vary.


3. Contract Formation

A contract is formed when the customer accepts Richner-Precision’s written offer (in writing or electronically). For online orders, the contract is effective upon Richner-Precision’s order confirmation.

Richner-Precision reserves the right to reject offers without explanation. Delivery availability and pricing errors are subject to change.


4. Pricing

All prices are in Swiss Francs (CHF), excluding VAT, packaging, shipping, customs duties, and other fees. For EU deliveries, customs and taxes may apply depending on delivery terms (DAP or DDP).

Prices are subject to change until contract conclusion. Consulting, installation, and training services are quoted and billed separately.


5. Payment Terms

Payment terms are as specified in the contract or offer. Unless otherwise agreed, payment is due in two installments: 50% upon order placement, and 50% prior to delivery.

For pre-sale of machines offered at a reduced price, full payment of 100% in advance is required before the contract is concluded.

Payments must be made by the agreed dates. Late payments entitle Richner-Precision to withhold delivery or cancel the contract. Ownership of goods remains with Richner-Precision until full payment is received.

All machines comply with Swiss and European legal requirements, including the Machinery Directive (2006/42/EC), EMC Directive (2014/30/EU), and Low Voltage Directive (2014/35/EU). CE conformity declarations accompany all machines.


6. Delivery

Deliveries are ex works Switzerland (EXW) unless otherwise agreed. Delivery dates are estimates and non-binding. Delays do not entitle cancellation or claims for damages.

Shipping is at the customer’s expense and risk. Risk passes to the customer upon handover to the carrier. Partial deliveries require prior agreement.

International shipments are standard DAP per Incoterms. DDP delivery is available upon request.


7. Inspection and Complaints

Customers must inspect deliveries immediately and report defects in writing within 5 days. Failure to notify in time is deemed acceptance.


8. Returns and Exchanges

Custom-made machines and customer-specific products cannot be returned or exchanged. This includes software, license keys, and opened electronics. Returns require prior approval from Richner-Precision.


9. Warranty

Richner-Precision provides a 24-month warranty from delivery date. Warranty covers repair or replacement of defective parts at Richner-Precision’s discretion.

Warranty excludes damage from misuse, normal wear, incorrect handling, unauthorized modifications, and external factors (e.g., moisture, power fluctuations).


10. Liability

Richner-Precision is not liable for indirect, consequential damages, or lost profits. Liability for agents and assistants is excluded.

Customers must install and operate machines properly and comply with safety instructions and regulations. Richner-Precision is not liable for damages caused by improper use.


11. Data Protection

Richner-Precision complies with the Swiss Data Protection Act (revDSG) and, where applicable, the EU General Data Protection Regulation (GDPR). Personal data is used solely for order processing and internal purposes, not shared with third parties.

By placing an order, customers consent to processing their personal data.


12. Governing Law and Jurisdiction

Place of performance is Meisterschwanden (AG), Switzerland. Exclusive jurisdiction is Aarau. Swiss substantive law applies exclusively, excluding conflict-of-law rules and the UN Sales Convention (CISG).
